هذا العقد هو عقد تسويق بالعمولة يخضع لأحكام وشروط منصة ميثاق، ويهدف إلى تنظيم العلاقة بين الطرفين فيما يتعلق بتسويق منتجات أو خدمات الطرف الأول من قبل الطرف الثاني مقابل عمولة متفق عليها.

This contract is a commission-based marketing agreement subject to the terms and conditions of the Mithaq platform. It aims to regulate the relationship between the parties regarding the marketing of the First Party's products or services by the Second Party in exchange for an agreed-upon commission.

تعريف الأطراف الطرف الأول: (وصفه) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني. الطرف الثاني: (وصفه)، وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Parties Definition First Party: (Description) is a user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link for Seller], whose identity has been verified through a valid identification document and whose account has been linked to their real name, phone number, and email address. Second Party: (Description) is a user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link for Buyer], whose identity has been verified through a valid identification document and whose account has been linked to their real name, phone number, and email address.

يتفق الطرفان على قيام الطرف الثاني بتسويق منتجات أو خدمات الطرف الأول المحددة في الملحق (أ) المرفق بهذا العقد.

The two parties agree that the Second Party will market the products or services of the First Party as specified in Annex (A) attached to this contract.

يحدد الطرف الأول نطاق التسويق المستهدف للطرف الثاني، ويشمل ذلك (تحديد المناطق الجغرافية، الفئات المستهدفة، قنوات التسويق المسموح بها).

The First Party shall define the target marketing scope for the Second Party, including (defining geographical areas, target groups, and permitted marketing channels).

تبدأ مدة هذا العقد من تاريخ الموافقة عليه عبر منصة ميثاق، وتستمر لمدة [عدد] أشهر/سنوات، قابلة للتجديد تلقائيًا لمدة مماثلة ما لم يخطر أحد الطرفين الآخر بعدم رغبته في التجديد قبل [عدد] أيام/أشهر من تاريخ انتهاء العقد.

The term of this contract shall commence from the date of approval on the Mithaq platform and shall continue for a period of [number] months/years, automatically renewable for a similar period unless one party notifies the other of its unwillingness to renew [number] days/months before the expiration date of the contract.

يستحق الطرف الثاني عمولة قدرها [نسبة مئوية] من قيمة المبيعات الفعلية الناتجة عن تسويقه لمنتجات أو خدمات الطرف الأول.

The Second Party shall be entitled to a commission of [percentage] of the actual sales value resulting from its marketing of the First Party's products or services.

يتم احتساب العمولة على أساس شهري/ربع سنوي، وتدفع للطرف الثاني خلال [عدد] أيام من تاريخ إعداد كشف حساب المبيعات من قبل الطرف الأول عبر منصة ميثاق.

The commission shall be calculated on a monthly/quarterly basis and paid to the Second Party within [number] days of the date of the sales statement prepared by the First Party via the Mithaq platform.

يتم تحويل العمولة المستحقة للطرف الثاني عبر الوسائل المتاحة على منصة ميثاق، ووفقًا للبيانات المسجلة في حسابه.

The commission due to the Second Party will be transferred via the means available on the Mithaq platform, according to the data registered in their account.

يلتزم الطرف الأول بتوفير كافة المعلومات والمواد التسويقية اللازمة للطرف الثاني لتسويق منتجاته أو خدماته بشكل فعال.

The First Party undertakes to provide all the necessary information and marketing materials to the Second Party to effectively market its products or services.

يلتزم الطرف الأول بمراجعة وتحديث المواد التسويقية بشكل دوري لضمان فعاليتها وملاءمتها.

The First Party undertakes to review and update the marketing materials periodically to ensure their effectiveness and suitability.

يلتزم الطرف الأول بتزويد الطرف الثاني بتقارير دورية عن أداء الحملات التسويقية ونتائجها.

The First Party undertakes to provide the Second Party with periodic reports on the performance of marketing campaigns and their results.

يلتزم الطرف الثاني بتسويق منتجات أو خدمات الطرف الأول بأمانة ومصداقية، والالتزام بالتعليمات والتوجيهات المقدمة من الطرف الأول.

The Second Party undertakes to market the First Party's products or services with honesty and integrity and to adhere to the instructions and guidelines provided by the First Party.

يلتزم الطرف الثاني بعدم تقديم أي معلومات مضللة أو غير دقيقة عن منتجات أو خدمات الطرف الأول.

The Second Party undertakes not to provide any misleading or inaccurate information about the First Party's products or services.

يلتزم الطرف الثاني بالحفاظ على سرية المعلومات المتعلقة بالطرف الأول ومنتجاته أو خدماته.

The Second Party undertakes to maintain the confidentiality of information relating to the First Party and its products or services.

يلتزم الطرف الثاني باستخدام قنوات التسويق المعتمدة من الطرف الأول فقط.

The Second Party undertakes to use only marketing channels approved by the First Party.

تبقى جميع حقوق الملكية الفكرية المتعلقة بمنتجات أو خدمات الطرف الأول مملوكة له بشكل كامل.

All intellectual property rights related to the First Party's products or services remain wholly owned by it.

لا يحق للطرف الثاني استخدام العلامات التجارية أو الشعارات أو أي مواد محمية بحقوق الملكية الفكرية الخاصة بالطرف الأول إلا بموافقة خطية مسبقة.

The Second Party may not use the trademarks, logos, or any materials protected by the First Party's intellectual property rights without prior written consent.

يحق لأي من الطرفين إنهاء هذا العقد في أي وقت بإخطار الطرف الآخر قبل [عدد] أيام عبر منصة ميثاق.

Either party may terminate this contract at any time by notifying the other party [number] days in advance via the Mithaq platform.

يحق للطرف الأول إنهاء هذا العقد فورًا في حالة مخالفة الطرف الثاني لأي من بنود هذا العقد، أو الإضرار بسمعة الطرف الأول.

The First Party may terminate this contract immediately if the Second Party violates any of the terms of this contract, or damages the reputation of the First Party.

عند إنهاء العقد، يجب على الطرف الثاني التوقف عن تسويق منتجات أو خدمات الطرف الأول، وإعادة جميع المواد التسويقية التي بحوزته.

Upon termination of the contract, the Second Party must cease marketing the First Party's products or services and return all marketing materials in its possession.

تستحق العمولة المستحقة للطرف الثاني حتى تاريخ إنهاء العقد.

The commission due to the Second Party is payable up to the date of termination of the contract.

يجوز تعديل هذا العقد بموافقة الطرفين عبر منصة ميثاق، ويعتبر التعديل جزءًا لا يتجزأ من هذا العقد.

This contract may be amended with the consent of both parties via the Mithaq platform, and the amendment shall be an integral part of this contract.

يخضع هذا العقد لأنظمة المملكة العربية السعودية.

This contract is subject to the regulations of the Kingdom of Saudi Arabia.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract, including its formation, execution, interpretation, or termination, shall be finally settled through electronic arbitration via the Mithaq Platform in accordance with its approved electronic arbitration regulations. This regulation forms an integral part of this contract. The default seat of arbitration shall be Cairo, Arab Republic of Egypt. The arbitration procedure shall be governed by Egyptian Arbitration Law No. 27 of 1994, and the subject matter shall be governed by the Egyptian Civil Code. The language of arbitration shall be Arabic. The arbitrator’s decision issued via the platform shall be final and binding on both parties, with the force of an enforceable title upon approval by the competent authority.
