هذا العقد هو عقد وكالة تجارية، يتم بموجبه تفويض الطرف الأول للطرف الثاني بتمثيله في نطاق جغرافي محدد لترويج وبيع منتجات وخدمات الطرف الأول.

This contract is a commercial agency agreement, whereby the First Party authorizes the Second Party to represent them within a specific geographical area for the promotion and sale of the First Party's products and services.

الطرف الأول: (الموكل/المنتج/المصدر) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

First Party: (Principal/Producer/Source) who is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link for Seller], whose identity has been verified through a valid identity document and linking his account to his real name, phone number and email.

الطرف الثاني: (الوكيل/الموزع/الممثل التجاري) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Second Party: (Agent/Distributor/Commercial Representative) who is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link for Buyer], whose identity has been verified through a valid identity document and linking his account to his real name, phone number and email.

يقتصر نطاق الوكالة التجارية الممنوحة للطرف الثاني على منطقة [تحديد المنطقة الجغرافية].

The scope of the commercial agency granted to the Second Party is limited to the [Specify geographic area].

تشمل الوكالة التجارية المنتجات والخدمات التالية: [تحديد المنتجات والخدمات].

The commercial agency includes the following products and services: [Specify products and services].

تبدأ مدة هذا العقد من تاريخ الموافقة عليه عبر منصة "ميثاق | Mithaq" وتستمر لمدة [عدد] سنة/سنوات، قابلة للتجديد تلقائيًا لمدة مماثلة ما لم يخطر أحد الطرفين الآخر بعدم رغبته في التجديد قبل [عدد] شهر/أشهر من تاريخ انتهاء العقد.

The term of this contract begins on the date of approval on the "Mithaq | Mithaq" platform and continues for a period of [Number] year/years, automatically renewable for a similar period unless one party notifies the other of its desire not to renew [Number] month/months before the contract expires.

يلتزم الطرف الأول بتزويد الطرف الثاني بجميع المعلومات والمواصفات الفنية والتسويقية اللازمة لترويج وبيع المنتجات والخدمات.

The First Party undertakes to provide the Second Party with all the information, technical specifications and marketing materials necessary to promote and sell the products and services.

يلتزم الطرف الأول بتوفير المنتجات والخدمات المطلوبة من قبل عملاء الطرف الثاني وفقًا للشروط المتفق عليها.

The First Party undertakes to provide the products and services requested by the Second Party's customers in accordance with the agreed terms.

يلتزم الطرف الأول بعدم تعيين أي وكيل تجاري آخر في المنطقة الجغرافية المحددة خلال مدة هذا العقد.

The First Party undertakes not to appoint any other commercial agent in the specified geographic area during the term of this contract.

يلتزم الطرف الثاني ببذل العناية اللازمة لترويج وبيع المنتجات والخدمات في المنطقة الجغرافية المحددة.

The Second Party undertakes to exercise due diligence in promoting and selling the products and services in the specified geographic area.

يلتزم الطرف الثاني بتمثيل مصالح الطرف الأول بأمانة وإخلاص.

The Second Party undertakes to represent the interests of the First Party honestly and faithfully.

يلتزم الطرف الثاني بإخطار الطرف الأول بأي شكاوى أو ملاحظات يتلقاها من العملاء.

The Second Party undertakes to notify the First Party of any complaints or feedback received from customers.

يستحق الطرف الثاني عمولة بنسبة [نسبة مئوية] من صافي قيمة المبيعات التي يحققها.

The Second Party is entitled to a commission of [Percentage] of the net value of sales achieved.

يتم احتساب العمولة على أساس شهري وتُدفع للطرف الثاني خلال [عدد] يوم/أيام من نهاية كل شهر عبر منصة "ميثاق | Mithaq".

The commission is calculated on a monthly basis and paid to the Second Party within [Number] day/days from the end of each month via the "Mithaq | Mithaq" platform.

يلتزم كل طرف بالحفاظ على سرية المعلومات التي يحصل عليها من الطرف الآخر بموجب هذا العقد وعدم استخدامها إلا لأغراض تنفيذ هذا العقد.

Each party undertakes to maintain the confidentiality of the information it obtains from the other party under this contract and not to use it except for the purposes of performing this contract.

يجوز لأي من الطرفين إنهاء هذا العقد بإخطار الطرف الآخر قبل [عدد] شهر/أشهر من تاريخ الإنهاء المطلوب.

Either party may terminate this contract by notifying the other party [Number] month/months before the desired termination date.

يجوز للطرف الأول إنهاء هذا العقد فورًا إذا أخل الطرف الثاني بأي من التزاماته الجوهرية بموجب هذا العقد.

The First Party may terminate this contract immediately if the Second Party breaches any of its material obligations under this contract.

يخضع هذا العقد ويُفسر وفقًا لقوانين [الدولة/الولاية].

This contract shall be governed by and construed in accordance with the laws of [Country/State].

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract, including its formation, execution, interpretation, or termination, shall be finally settled through electronic arbitration via the Mithaq Platform in accordance with its approved electronic arbitration regulations. This regulation forms an integral part of this contract. The default seat of arbitration shall be Cairo, Arab Republic of Egypt. The arbitration procedure shall be governed by Egyptian Arbitration Law No. 27 of 1994, and the subject matter shall be governed by the Egyptian Civil Code. The language of arbitration shall be Arabic. The arbitrator’s decision issued via the platform shall be final and binding on both parties, with the force of an enforceable title upon approval by the competent authority.
