هذا العقد هو عقد استثمار مشترك يهدف إلى تمويل مشروع [اسم المشروع]، وذلك وفقًا للشروط والأحكام المبينة أدناه.

This contract is a joint investment agreement aimed at financing the [Project Name] project, according to the terms and conditions outlined below.

الطرف الأول: (المستثمر) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party One: (Investor) is a user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للبائع], who has been verified through a valid ID document and their account is linked to their real name, phone number, and email address.

الطرف الثاني: (صاحب المشروع/المدير) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party Two: (Project Owner/Manager) is a user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للمشتري], who has been verified through a valid ID document and their account is linked to their real name, phone number, and email address.

موضوع هذا العقد هو قيام الطرف الأول باستثمار مبلغ [المبلغ] في مشروع [اسم المشروع] الذي يديره الطرف الثاني، وذلك بهدف تحقيق الأرباح المتوقعة وفقًا للخطة المتفق عليها.

The subject of this agreement is the investment by Party One of the amount of [Amount] in the [Project Name] project managed by Party Two, with the aim of achieving the expected profits according to the agreed plan.

يبلغ إجمالي مبلغ الاستثمار الذي سيقوم به الطرف الأول [المبلغ]، وسيتم تحويله إلى حساب الطرف الثاني على منصة "ميثاق | Mithaq" وفقًا لجدول الدفعات المرفق بهذا العقد.

The total investment amount to be made by Party One is [Amount], and it will be transferred to Party Two's account on the "Mithaq | Mithaq" platform according to the payment schedule attached to this agreement.

يستحق الطرف الأول نسبة [النسبة المئوية]% من صافي أرباح المشروع بعد خصم جميع المصاريف التشغيلية والتكاليف ذات الصلة. سيتم احتساب الأرباح وتوزيعها بشكل دوري كل [المدة]، وسيتم تحويل حصة الطرف الأول إلى حسابه على منصة "ميثاق | Mithaq".

Party One is entitled to [Percentage]% of the net profits of the project after deducting all operational expenses and related costs. Profits will be calculated and distributed periodically every [Duration], and Party One's share will be transferred to their account on the "Mithaq | Mithaq" platform.

يلتزم الطرف الأول بتحويل مبلغ الاستثمار المتفق عليه في المواعيد المحددة.

Party One undertakes to transfer the agreed investment amount on the specified dates.

يلتزم الطرف الأول بعدم التدخل في الإدارة اليومية للمشروع، والاكتفاء بمتابعة التقارير الدورية التي يقدمها الطرف الثاني.

Party One undertakes not to interfere in the day-to-day management of the project and to only follow up on the periodic reports provided by Party Two.

يلتزم الطرف الثاني بإدارة المشروع بكفاءة وفعالية لتحقيق الأهداف المتفق عليها.

Party Two undertakes to manage the project efficiently and effectively to achieve the agreed objectives.

يلتزم الطرف الثاني بتقديم تقارير دورية للطرف الأول حول سير العمل والأداء المالي للمشروع.

Party Two undertakes to provide periodic reports to Party One on the progress of work and the financial performance of the project.

يلتزم الطرف الثاني بتخصيص مبلغ الاستثمار في الأوجه المحددة في خطة العمل المعتمدة.

Party Two undertakes to allocate the investment amount to the specific aspects outlined in the approved business plan.

يلتزم الطرف الثاني بإخطار الطرف الأول بأي تطورات جوهرية قد تؤثر على المشروع.

Party Two undertakes to notify Party One of any material developments that may affect the project.

تبدأ مدة هذا العقد من تاريخ الموافقة عليه عبر منصة "ميثاق | Mithaq" ولمدة [المدة] قابلة للتجديد باتفاق الطرفين.

The term of this agreement begins on the date of approval through the "Mithaq | Mithaq" platform and lasts for [Duration], renewable by agreement of both parties.

يتعهد كل طرف بالحفاظ على سرية المعلومات التي تم الحصول عليها بموجب هذا العقد، وعدم إفشائها لأي طرف ثالث إلا بموافقة الطرف الآخر.

Each party undertakes to maintain the confidentiality of the information obtained under this agreement and not to disclose it to any third party without the consent of the other party.

يحق لأي من الطرفين فسخ هذا العقد في حال إخلال الطرف الآخر بأي من التزاماته الجوهرية، وذلك بعد إشعاره عبر منصة "ميثاق | Mithaq" ومنحه مهلة [المدة] لتصحيح الوضع.

Either party has the right to terminate this agreement if the other party breaches any of its material obligations, after notifying them via the "Mithaq | Mithaq" platform and giving them a period of [Duration] to remedy the situation.

في حال فسخ العقد، يتم تصفية الاستثمار وتقسيم الموجودات وفقًا للنسب المتفق عليها، وبعد خصم جميع الديون والالتزامات المستحقة.

In the event of termination of the agreement, the investment will be liquidated and the assets will be divided according to the agreed proportions, after deducting all outstanding debts and liabilities.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract, including its formation, execution, interpretation, or termination, shall be finally settled through electronic arbitration via the Mithaq Platform in accordance with its approved electronic arbitration regulations. This regulation forms an integral part of this contract. The default seat of arbitration shall be Cairo, Arab Republic of Egypt. The arbitration procedure shall be governed by Egyptian Arbitration Law No. 27 of 1994, and the subject matter shall be governed by the Egyptian Civil Code. The language of arbitration shall be Arabic. The arbitrator’s decision issued via the platform shall be final and binding on both parties, with the force of an enforceable title upon approval by the competent authority.
