هذا العقد هو عقد تأجير مركبة/تشغيل أسطول، يهدف إلى تنظيم العلاقة بين الطرفين فيما يتعلق بتأجير أو تشغيل المركبات وفقًا للشروط والأحكام المنصوص عليها أدناه.

This contract is a vehicle rental/fleet operation agreement, aimed at regulating the relationship between the parties regarding the rental or operation of vehicles in accordance with the terms and conditions set out below.

الطرف الأول: (وصفه) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party One: (Description) is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identity document and whose account has been linked to their real name, phone number, and email address.

الطرف الثاني: (وصفه)، وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party Two: (Description) is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identity document and whose account has been linked to their real name, phone number, and email address.

يتفق الطرف الأول بموجب هذا العقد على تأجير/تشغيل المركبة/المركبات التالية للطرف الثاني: [بيانات المركبات بالتفصيل].

Party One agrees under this contract to rent/operate the following vehicle/vehicles to Party Two: [Detailed vehicle information].

يشمل موضوع العقد [نطاق الخدمات المقدمة، مثل الصيانة، التأمين، إلخ].

The subject of the contract includes [Scope of services provided, such as maintenance, insurance, etc.].

تبدأ مدة هذا العقد من تاريخ [تاريخ السريان] وتنتهي في تاريخ [تاريخ الانتهاء]، ما لم يتم تجديده باتفاق الطرفين.

The term of this contract begins on [Start Date] and ends on [End Date], unless renewed by agreement of both parties.

يجوز تجديد العقد لمدة مماثلة باتفاق الطرفين قبل نهاية المدة الأصلية بـ [عدد] يومًا على الأقل.

The contract may be renewed for a similar period by agreement of both parties at least [Number] days before the end of the original term.

قيمة الإيجار/التشغيل المتفق عليها هي [قيمة المبلغ] [العملة] تدفع [طريقة الدفع: شهريًا، ربع سنويًا، سنويًا، إلخ].

The agreed rental/operation value is [Amount] [Currency], payable [Payment Method: monthly, quarterly, annually, etc.].

يلتزم الطرف الثاني بتحويل قيمة الإيجار/التشغيل إلى حساب الطرف الأول رقم [رقم حساب الطرف الأول] في موعد أقصاه [يوم من الشهر] من كل [فترة دفع].

Party Two undertakes to transfer the rental/operation value to Party One's account number [Party One's Account Number] no later than [Day of the month] of each [Payment Period].

في حالة التأخر عن السداد، يحق للطرف الأول فرض غرامة تأخير بنسبة [نسبة] عن كل [فترة تأخير].

In case of late payment, Party One is entitled to impose a late payment penalty of [Percentage] for each [Delay Period].

يلتزم الطرف الأول بتسليم المركبة/المركبات للطرف الثاني في حالة جيدة وصالحة للاستخدام.

Party One undertakes to deliver the vehicle/vehicles to Party Two in good condition and fit for use.

يلتزم الطرف الأول بصيانة المركبة/المركبات بشكل دوري وفقًا لـ [شروط الصيانة المتفق عليها].

Party One undertakes to maintain the vehicle/vehicles periodically in accordance with [Agreed maintenance terms].

يلتزم الطرف الأول بتوفير التأمين اللازم على المركبة/المركبات طوال مدة العقد.

Party One undertakes to provide the necessary insurance on the vehicle/vehicles throughout the term of the contract.

يلتزم الطرف الثاني باستخدام المركبة/المركبات بحرص وعناية وفقًا للتعليمات والارشادات المقدمة من الطرف الأول.

Party Two undertakes to use the vehicle/vehicles carefully and diligently in accordance with the instructions and guidelines provided by Party One.

يلتزم الطرف الثاني بسداد قيمة الإيجار/التشغيل في المواعيد المتفق عليها.

Party Two undertakes to pay the rental/operation value on the agreed dates.

يلتزم الطرف الثاني بإعادة المركبة/المركبات إلى الطرف الأول في نهاية مدة العقد بنفس الحالة التي استلمها عليها، مع مراعاة الاستهلاك الطبيعي.

Party Two undertakes to return the vehicle/vehicles to Party One at the end of the contract term in the same condition as they were received, taking into account normal wear and tear.

يلتزم الطرف الثاني بالإبلاغ الفوري عن أي عطل أو ضرر يلحق بالمركبة/المركبات.

Party Two undertakes to report immediately any malfunction or damage to the vehicle/vehicles.

يجوز لأي من الطرفين فسخ هذا العقد في حالة إخلال الطرف الآخر بأي من بنوده الجوهرية، بعد إخطار الطرف المخالف بـ [عدد] يومًا.

Either party may terminate this contract in the event of a breach by the other party of any of its material terms, after notifying the breaching party [Number] days in advance.

في حالة فسخ العقد من قبل الطرف الثاني قبل نهاية المدة، يلتزم بدفع تعويض للطرف الأول يعادل [نسبة] من قيمة الإيجار/التشغيل المتبقية.

In the event of termination of the contract by Party Two before the end of the term, Party Two is obligated to pay compensation to Party One equal to [Percentage] of the remaining rental/operation value.

لا يعتبر أي من الطرفين مسؤولاً عن أي تأخير أو إخفاق في تنفيذ التزاماته بموجب هذا العقد إذا كان ذلك ناتجًا عن قوة قاهرة خارجة عن إرادته، مثل الكوارث الطبيعية، الحروب، الاضطرابات المدنية، أو القرارات الحكومية.

Neither party shall be liable for any delay or failure to perform its obligations under this contract if such delay or failure is due to force majeure beyond its control, such as natural disasters, wars, civil unrest, or government decisions.

يتعين على الطرف المتضرر إخطار الطرف الآخر بوقوع حالة القوة القاهرة في أقرب وقت ممكن.

The affected party must notify the other party of the occurrence of the force majeure event as soon as possible.

يخضع هذا العقد لأنظمة المملكة العربية السعودية.

This contract is subject to the regulations of the Kingdom of Saudi Arabia.

أي تعديلات على هذا العقد يجب أن تتم عبر منصة "ميثاق | Mithaq" وبموافقة الطرفين.

Any amendments to this contract must be made through the "Mithaq | Mithaq" platform and with the consent of both parties.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled through electronic arbitration via the Mithaq Platform under its approved arbitration regulations. The default seat of arbitration shall be Cairo, Egypt. The arbitration shall be governed by Egyptian Arbitration Law No. 27 of 1994 and the Egyptian Civil Code. The arbitration language shall be Arabic. The arbitrator’s decision is final, binding, and enforceable upon approval by the competent authority.
