هذا العقد هو عقد نقل بضائع، يهدف إلى تحديد الحقوق والالتزامات بين الطرفين فيما يتعلق بنقل البضائع المحددة بالشروط المتفق عليها.

This contract is a goods transportation agreement, aiming to define the rights and obligations of both parties regarding the transportation of goods under the agreed terms.

الطرف الأول: (وصفه) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party One: (Description) who is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identification document and whose account is linked to their real name, phone number, and email address.

الطرف الثاني: (وصفه)، وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party Two: (Description), who is a registered user on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identification document and whose account is linked to their real name, phone number, and email address.

موضوع هذا العقد هو قيام الطرف الأول بنقل البضائع المحددة في هذا العقد من [مكان التحميل] إلى [مكان التسليم] وفقاً للشروط والأحكام الواردة فيه.

The subject of this contract is the transport by Party One of the goods specified in this contract from [Loading Place] to [Delivery Place] in accordance with the terms and conditions contained herein.

تتضمن البضائع المنقولة ما يلي: [وصف تفصيلي للبضائع]، بكمية [كمية البضائع].

The transported goods include: [Detailed description of goods], in a quantity of [Quantity of goods].

يسري هذا العقد اعتبارًا من تاريخ [تاريخ السريان] وينتهي في تاريخ [تاريخ الانتهاء].

This contract shall be effective from [Effective Date] and shall terminate on [Expiration Date].

يجوز تجديد هذا العقد لمدة مماثلة باتفاق الطرفين عبر منصة ميثاق قبل [مدة التجديد] من تاريخ انتهاء العقد الأصلي.

This contract may be renewed for a similar period by agreement of both parties via the Mithaq platform before [Renewal Period] from the original contract's expiration date.

يلتزم الطرف الأول بنقل البضائع بأمان وعناية من مكان التحميل إلى مكان التسليم المحدد في هذا العقد.

Party One undertakes to transport the goods safely and carefully from the loading place to the delivery place specified in this contract.

يلتزم الطرف الأول بتوفير وسائل النقل المناسبة لنقل البضائع المحددة، وضمان سلامتها خلال عملية النقل.

Party One undertakes to provide appropriate means of transport for the specified goods, and ensure their safety during transportation.

يلتزم الطرف الأول بإشعار الطرف الثاني بأي تأخير محتمل في عملية النقل فور علمه به عبر المنصة.

Party One undertakes to notify Party Two of any potential delay in the transportation process as soon as they become aware of it via the platform.

يلتزم الطرف الأول بالتحقق من سلامة البضائع قبل استلامها من الطرف الثاني، والإبلاغ عن أي تلف أو نقص فيها عبر المنصة.

Party One undertakes to verify the integrity of the goods before receiving them from Party Two, and report any damage or shortage via the platform.

يلتزم الطرف الثاني بتسليم البضائع إلى الطرف الأول في مكان التحميل المحدد وفي الوقت المتفق عليه.

Party Two undertakes to deliver the goods to Party One at the specified loading place and at the agreed time.

يلتزم الطرف الثاني بتوفير معلومات دقيقة وكاملة عن البضائع المنقولة، بما في ذلك وزنها وأبعادها وقيمتها.

Party Two undertakes to provide accurate and complete information about the transported goods, including their weight, dimensions, and value.

يلتزم الطرف الثاني بدفع تكاليف النقل المتفق عليها للطرف الأول وفقاً للشروط والأحكام الواردة في هذا العقد.

Party Two undertakes to pay the agreed transportation costs to Party One in accordance with the terms and conditions contained in this contract.

يلتزم الطرف الثاني بتوفير جميع المستندات اللازمة لتسهيل عملية النقل، مثل الفواتير وقوائم التعبئة.

Party Two undertakes to provide all necessary documents to facilitate the transportation process, such as invoices and packing lists.

تبلغ قيمة هذا العقد [قيمة العقد] [العملة]، وتشمل جميع تكاليف النقل والتأمين والرسوم الأخرى المتعلقة بالبضائع.

The value of this contract is [Contract Value] [Currency], and includes all transportation, insurance, and other fees related to the goods.

يتم دفع قيمة العقد على النحو التالي: [شروط الدفع] عن طريق التحويل الإلكتروني إلى حساب الطرف الأول رقم [رقم حساب الطرف الأول].

The contract value shall be paid as follows: [Payment Terms] by electronic transfer to Party One's account number [Party One's Account Number].

يتم إجراء جميع المدفوعات إلكترونيًا عبر منصة ميثاق.

All payments are made electronically via the Mithaq platform.

يضمن الطرف الأول سلامة البضائع المنقولة طوال فترة النقل.

Party One guarantees the safety of the transported goods throughout the transportation period.

يتحمل الطرف الأول مسؤولية التأمين على البضائع ضد الفقد أو التلف أثناء النقل.

Party One is responsible for insuring the goods against loss or damage during transportation.

في حالة فقدان أو تلف البضائع، يلتزم الطرف الأول بتعويض الطرف الثاني عن قيمة الأضرار وفقاً للتقييم الذي يتم عبر منصة ميثاق.

In the event of loss or damage to the goods, Party One undertakes to compensate Party Two for the value of the damages according to the assessment made via the Mithaq platform.

لا يعتبر أي من الطرفين مسؤولاً عن عدم تنفيذ التزاماته بموجب هذا العقد إذا كان ذلك ناتجًا عن قوة قاهرة، مثل الكوارث الطبيعية أو الحروب أو الاضطرابات المدنية.

Neither party shall be liable for failure to perform its obligations under this contract if such failure is due to force majeure, such as natural disasters, wars, or civil unrest.

يتعين على الطرف المتضرر إشعار الطرف الآخر بوقوع القوة القاهرة فور علمه بها عبر المنصة.

The affected party must notify the other party of the occurrence of force majeure as soon as they become aware of it via the platform.

يلتزم الطرفان بالحفاظ على سرية المعلومات المتعلقة بهذا العقد وعدم الكشف عنها لأي طرف ثالث دون موافقة مسبقة عبر المنصة.

Both parties undertake to maintain the confidentiality of information relating to this contract and not to disclose it to any third party without prior consent via the platform.

يجوز تعديل هذا العقد باتفاق الطرفين عبر منصة ميثاق.

This contract may be amended by agreement of both parties via the Mithaq platform.

أي تعديلات يتم إجراؤها على هذا العقد يجب أن تكون موثقة وموافَق عليها إلكترونيًا عبر المنصة.

Any amendments made to this contract must be documented and electronically approved via the platform.

يجوز لأي من الطرفين فسخ هذا العقد في حالة إخلال الطرف الآخر بأي من التزاماته الجوهرية بموجبه، بعد إشعاره بذلك عبر المنصة ومنحه مهلة [مهلة الفسخ] لتصحيح الوضع.

Either party may terminate this contract if the other party breaches any of its material obligations hereunder, after notifying them via the platform and granting them a period of [Termination Period] to rectify the situation.

في حالة فسخ العقد، يلتزم الطرف المخل بدفع تعويض للطرف الآخر عن الأضرار التي لحقت به نتيجة هذا الفسخ وفقاً للتقييم الذي يتم عبر منصة ميثاق.

In the event of termination of the contract, the breaching party undertakes to pay compensation to the other party for the damages incurred as a result of this termination according to the assessment made via the Mithaq platform.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled through electronic arbitration via the Mithaq Platform under its approved arbitration regulations. The default seat of arbitration shall be Cairo, Egypt. The arbitration shall be governed by Egyptian Arbitration Law No. 27 of 1994 and the Egyptian Civil Code. The arbitration language shall be Arabic. The arbitrator’s decision is final, binding, and enforceable upon approval by the competent authority.
