هذا العقد هو عقد استشارات [نوع الاستشارة: قانونية / هندسية / مالية]، يهدف إلى تنظيم العلاقة بين الطرفين وتحديد حقوق والتزامات كل منهما فيما يتعلق بتقديم الخدمات الاستشارية.

This contract is a [Legal/Engineering/Financial] consulting agreement, which aims to regulate the relationship between the two parties and define the rights and obligations of each of them regarding the provision of consulting services.

الطرف الأول: (وصفه) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party One: (Description) is the user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identity document and linked his account to his real name, phone number, and email.

الطرف الثاني: (وصفه)، وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Party Two: (Description), is the user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identity document and linked his account to his real name, phone number, and email.

يقوم الطرف الأول بموجب هذا العقد بتقديم خدمات استشارية [نوع الاستشارة: قانونية / هندسية / مالية] للطرف الثاني، وذلك في مجال [مجال الاستشارة المحدد].

Under this contract, the First Party shall provide [Legal/Engineering/Financial] consulting services to the Second Party in the field of [Specific Consulting Field].

تشمل الخدمات الاستشارية على سبيل المثال لا الحصر: [قائمة مفصلة بالخدمات الاستشارية المقدمة].

The consulting services include, but are not limited to: [Detailed list of consulting services provided].

تبدأ مدة هذا العقد من تاريخ [تاريخ السريان] وتنتهي في تاريخ [تاريخ الانتهاء].

The duration of this contract shall commence on [Start Date] and terminate on [End Date].

يجوز تجديد هذا العقد لمدة مماثلة بموافقة الطرفين عبر المنصة قبل [عدد الأيام] يومًا على الأقل من تاريخ انتهاء العقد الأصلي.

This contract may be renewed for a similar period with the consent of both parties through the platform at least [Number of Days] days before the original contract expiration date.

قيمة هذا العقد الإجمالية هي [قيمة العقد] [العملة].

The total value of this contract is [Contract Value] [Currency].

يتم سداد قيمة العقد على [عدد الدفعات] دفعات، وفقًا للجدول التالي: [جدول الدفعات وتواريخ الاستحقاق].

The contract value shall be paid in [Number of Installments] installments, according to the following schedule: [Payment Schedule and Due Dates].

تتم جميع المدفوعات إلكترونيًا عبر منصة "ميثاق | Mithaq".

All payments shall be made electronically via the "Mithaq | Mithaq" platform.

يلتزم الطرف الأول بتقديم الخدمات الاستشارية المتفق عليها بجودة عالية وفي المواعيد المحددة.

The First Party undertakes to provide the agreed consulting services with high quality and on the specified dates.

يلتزم الطرف الأول بالحفاظ على سرية المعلومات التي يتم الحصول عليها من الطرف الثاني وعدم إفشائها لأي طرف ثالث.

The First Party undertakes to maintain the confidentiality of the information obtained from the Second Party and not to disclose it to any third party.

يلتزم الطرف الأول بتقديم تقارير دورية للطرف الثاني عن سير العمل ونتائج الاستشارات.

The First Party undertakes to provide periodic reports to the Second Party on the progress of work and the results of consultations.

يلتزم الطرف الثاني بسداد قيمة العقد في المواعيد المحددة.

The Second Party undertakes to pay the contract value on the specified dates.

يلتزم الطرف الثاني بتزويد الطرف الأول بكافة المعلومات والبيانات اللازمة لتقديم الخدمات الاستشارية.

The Second Party undertakes to provide the First Party with all the information and data necessary to provide the consulting services.

يلتزم الطرف الثاني بالتعاون مع الطرف الأول لتسهيل تقديم الخدمات الاستشارية.

The Second Party undertakes to cooperate with the First Party to facilitate the provision of consulting services.

يجوز لأي من الطرفين إنهاء هذا العقد قبل انتهاء مدته بشرط إخطار الطرف الآخر عبر المنصة قبل [عدد الأيام] يومًا على الأقل من تاريخ الإنهاء.

Either party may terminate this contract before its expiry date, provided that the other party is notified through the platform at least [Number of Days] days before the termination date.

في حالة إنهاء العقد من قبل الطرف الثاني قبل استكمال الخدمات الاستشارية، يحق للطرف الأول الحصول على قيمة الخدمات التي تم تقديمها حتى تاريخ الإنهاء.

In the event of termination of the contract by the Second Party before the completion of the consulting services, the First Party shall be entitled to the value of the services provided up to the date of termination.

يجوز للطرف الأول إنهاء العقد في حالة عدم التزام الطرف الثاني بسداد قيمة العقد في المواعيد المحددة.

The First Party may terminate the contract if the Second Party fails to pay the contract value on the specified dates.

يعتبر هذا العقد كاملاً وشاملاً لكافة الاتفاقيات والتفاهمات بين الطرفين فيما يتعلق بموضوع العقد، ويلغي أي اتفاقيات أو تفاهمات سابقة.

This contract is considered complete and comprehensive for all agreements and understandings between the two parties regarding the subject of the contract, and supersedes any prior agreements or understandings.

لا يجوز لأي من الطرفين التنازل عن حقوقه أو التزاماته بموجب هذا العقد إلا بموافقة الطرف الآخر عبر المنصة.

Neither party may assign its rights or obligations under this contract except with the consent of the other party through the platform.

يخضع هذا العقد لأنظمة [الدولة] ويتم تفسيره وفقًا لها.

This contract is subject to the laws of [Country] and shall be interpreted in accordance therewith.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled through electronic arbitration via the Mithaq Platform under its approved arbitration regulations. The default seat of arbitration shall be Cairo, Egypt. The arbitration shall be governed by Egyptian Arbitration Law No. 27 of 1994 and the Egyptian Civil Code. The arbitration language shall be Arabic. The arbitrator’s decision is final, binding, and enforceable upon approval by the competent authority.
