هذا العقد هو عقد وكالة في بيع أو شراء العقار، يهدف إلى تفويض الطرف الأول للطرف الثاني بالتصرف نيابة عنه في بيع أو شراء عقار محدد وفقًا للشروط والأحكام الواردة في هذا العقد.
This agreement is an agency agreement for the sale or purchase of real estate, aimed at authorizing the first party to the second party to act on his behalf in selling or purchasing a specific property in accordance with the terms and conditions contained in this agreement.
تعريف الأطراف الطرف الأول: (الموكل) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني. الطرف الثاني: (الوكيل) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.
Parties Definition Party One: (Principal) is the user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identity document and linking his account to his real name, phone number, and email address. Party Two: (Agent) is the user registered on the "Mithaq | Mithaq" platform via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identity document and linking his account to his real name, phone number, and email address.
يوكل الطرف الأول بموجب هذا العقد الطرف الثاني في [بيع/شراء] العقار الموصوف أدناه: [وصف تفصيلي للعقار، بما في ذلك الموقع والمساحة ورقم القطعة ورقم الصك].
Party One hereby appoints Party Two to [sell/purchase] the property described below: [Detailed description of the property, including location, area, plot number, and deed number].
تبدأ مدة هذه الوكالة من تاريخ [تاريخ السريان] وتنتهي في تاريخ [تاريخ الانتهاء].
The term of this agency shall commence on [Start Date] and shall end on [End Date].
يجوز تجديد هذه الوكالة باتفاق الطرفين عبر منصة "ميثاق | Mithaq" قبل نهاية مدتها بشهر على الأقل.
This agency may be renewed by agreement of both parties via the "ميثاق | Mithaq" platform at least one month before its expiration.
يخول هذا العقد الطرف الثاني القيام بالإجراءات التالية نيابة عن الطرف الأول: 1. التفاوض مع الأطراف الأخرى المهتمة [ببيع/شراء] العقار. 2. توقيع العقود والوثائق اللازمة لإتمام عملية [البيع/الشراء] بعد الحصول على موافقة الطرف الأول. 3. استلام ودفع المبالغ المتعلقة بالعقار وفقًا للشروط المتفق عليها. 4. اتخاذ أي إجراءات أخرى ضرورية لإتمام عملية [البيع/الشراء] بما يخدم مصلحة الطرف الأول.
This agreement authorizes Party Two to perform the following actions on behalf of Party One: 1. Negotiate with other parties interested in [selling/purchasing] the property. 2. Sign contracts and documents necessary to complete the [sale/purchase] process after obtaining the approval of Party One. 3. Receive and pay amounts related to the property in accordance with the agreed terms. 4. Take any other actions necessary to complete the [sale/purchase] process in the best interest of Party One.
يستحق الطرف الثاني عمولة قدرها [نسبة العمولة]% من قيمة [بيع/شراء] العقار، تدفع له بعد إتمام الصفقة.
Party Two shall be entitled to a commission of [Commission Percentage]% of the value of the [sale/purchase] of the property, payable to him after the completion of the transaction.
يتم تحويل العمولة إلى حساب الطرف الثاني البنكي رقم [رقم حساب الطرف الثاني] بعد استلام الطرف الأول كامل المبلغ المستحق.
The commission shall be transferred to Party Two's bank account number [Party Two's Account Number] after Party One receives the full amount due.
يلتزم الطرف الأول بما يلي: 1. تزويد الطرف الثاني بكافة المعلومات والوثائق اللازمة لإتمام عملية [البيع/الشراء]. 2. الموافقة على العقود والوثائق التي يتم التوصل إليها من قبل الطرف الثاني قبل توقيعها. 3. دفع عمولة الطرف الثاني في الموعد المحدد.
Party One is obligated to: 1. Provide Party Two with all the information and documents necessary to complete the [sale/purchase] process. 2. Approve the contracts and documents reached by Party Two before signing them. 3. Pay Party Two's commission on the specified date.
يلتزم الطرف الثاني بما يلي: 1. بذل العناية اللازمة في إتمام عملية [البيع/الشراء] بما يخدم مصلحة الطرف الأول. 2. إطلاع الطرف الأول على كافة المفاوضات والتطورات المتعلقة بالعقار. 3. عدم تجاوز نطاق الوكالة المحدد في هذا العقد. 4. الحفاظ على سرية المعلومات المتعلقة بالطرف الأول والعقار.
Party Two is obligated to: 1. Exercise due diligence in completing the [sale/purchase] process in the best interest of Party One. 2. Inform Party One of all negotiations and developments related to the property. 3. Not exceed the scope of the agency defined in this agreement. 4. Maintain the confidentiality of information relating to Party One and the property.
يجوز لأي من الطرفين إنهاء هذه الوكالة قبل نهاية مدتها بشرط إشعار الطرف الآخر عبر منصة "ميثاق | Mithaq" قبل [مدة الإشعار] من تاريخ الإنهاء.
Either party may terminate this agency before the end of its term provided that the other party is notified via the "Mithaq | Mithaq" platform [Notice Period] prior to the date of termination.
في حالة إنهاء الوكالة قبل إتمام عملية [البيع/الشراء]، يستحق الطرف الثاني عمولة عن الجهود التي بذلها حتى تاريخ الإنهاء، يتم تحديدها بالتراضي بين الطرفين عبر المنصة.
In the event of termination of the agency before the completion of the [sale/purchase] process, Party Two shall be entitled to a commission for the efforts made up to the date of termination, which shall be determined by mutual agreement between the parties via the platform.
يعتبر هذا العقد كاملاً ونهائياً، ويحل محل أي اتفاقات أو تفاهمات سابقة بين الطرفين فيما يتعلق بموضوعه.
This agreement is considered complete and final, and supersedes any prior agreements or understandings between the parties regarding its subject matter.
يخضع هذا العقد للأنظمة والقوانين المعمول بها في [الدولة/المنطقة].
This agreement is subject to the regulations and laws in force in [Country/Region].
أي تعديل على هذا العقد يجب أن يتم عبر منصة "ميثاق | Mithaq" وبموافقة الطرفين.
Any modification to this agreement must be made through the "Mithaq | Mithaq" platform and with the consent of both parties.
جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.
All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.
يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.
The parties agree that any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled through electronic arbitration via the Mithaq Platform under its approved arbitration regulations. The default seat of arbitration shall be Cairo, Egypt. The arbitration shall be governed by Egyptian Arbitration Law No. 27 of 1994 and the Egyptian Civil Code. The arbitration language shall be Arabic. The arbitrator’s decision is final, binding, and enforceable upon approval by the competent authority.
