هذا العقد هو عقد إدارة عقار/صيانة مبنى، يهدف إلى تحديد التزامات وحقوق كل من الطرفين المتعاقدين فيما يتعلق بإدارة وصيانة العقار/المبنى المحدد في هذا العقد.

This contract is a property management/building maintenance agreement, which aims to define the obligations and rights of each of the contracting parties in relation to the management and maintenance of the property/building specified in this contract.

الطرف الأول: (المالك/المؤجر) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

First Party: (Owner/Landlord) is the user registered on the platform "Mithaq | Mithaq" via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identification document and linking his account to his real name, phone number and email.

الطرف الثاني: (شركة الإدارة/الصيانة) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.

Second Party: (Management/Maintenance Company) is the user registered on the platform "Mithaq | Mithaq" via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identification document and linking his account to his real name, phone number and email.

موضوع هذا العقد هو قيام الطرف الثاني بإدارة وصيانة العقار/المبنى الكائن في [عنوان العقار/المبنى] وفقاً للشروط والمواصفات الواردة في هذا العقد.

The subject of this contract is the management and maintenance of the property/building located at [Property/Building Address] by the Second Party in accordance with the terms and specifications contained in this contract.

مدة هذا العقد هي [مدة العقد] تبدأ من تاريخ [تاريخ السريان] وتنتهي بتاريخ [تاريخ الانتهاء]. ويتجدد تلقائياً لمدة مماثلة ما لم يخطر أحد الطرفين الآخر بعدم رغبته في التجديد قبل [عدد الأيام] من تاريخ الانتهاء.

The duration of this contract is [Contract Duration] commencing on [Start Date] and ending on [End Date]. It shall be automatically renewed for a similar period unless one party notifies the other of its desire not to renew at least [Number of Days] before the expiration date.

يلتزم الطرف الأول بتسليم العقار/المبنى للطرف الثاني بحالة جيدة ومجهزة للقيام بأعمال الإدارة والصيانة.

The First Party undertakes to hand over the property/building to the Second Party in good condition and equipped to carry out the management and maintenance work.

يلتزم الطرف الأول بتزويد الطرف الثاني بجميع المعلومات والمستندات اللازمة لإدارة العقار/المبنى.

The First Party undertakes to provide the Second Party with all the necessary information and documents for the management of the property/building.

يلتزم الطرف الأول بسداد مستحقات الطرف الثاني وفقاً للشروط المتفق عليها في هذا العقد.

The First Party undertakes to pay the Second Party's dues in accordance with the terms agreed upon in this contract.

يلتزم الطرف الثاني بإدارة وصيانة العقار/المبنى وفقاً لأفضل الممارسات والمعايير المهنية.

The Second Party undertakes to manage and maintain the property/building in accordance with best practices and professional standards.

يلتزم الطرف الثاني بالحفاظ على العقار/المبنى في حالة جيدة وتوفير الصيانة الدورية والطارئة.

The Second Party undertakes to maintain the property/building in good condition and provide routine and emergency maintenance.

يلتزم الطرف الثاني بتحصيل الإيجارات من المستأجرين (إن وجدوا) وإيداعها في حساب الطرف الأول [رقم حساب الطرف الأول] بعد خصم المصاريف المتفق عليها.

The Second Party undertakes to collect rents from tenants (if any) and deposit them into the First Party's account [رقم حساب الطرف الأول] after deducting the agreed expenses.

يلتزم الطرف الثاني بتقديم تقارير دورية للطرف الأول عن حالة العقار/المبنى والإيرادات والمصروفات.

The Second Party undertakes to provide periodic reports to the First Party on the condition of the property/building and revenues and expenses.

يستحق الطرف الثاني مقابل خدماته مبلغ [قيمة المبلغ] [العملة] شهرياً/سنوياً، يدفع من قبل الطرف الأول.

The Second Party is entitled to a fee for its services in the amount of [قيمة المبلغ] [العملة] monthly/annually, payable by the First Party.

يتم دفع المقابل المالي في موعد أقصاه [يوم من الشهر] من كل شهر/سنة.

The financial consideration shall be paid no later than [Day of the Month] of each month/year.

في حال إخلال أي من الطرفين بالتزاماته المنصوص عليها في هذا العقد، يحق للطرف الآخر المطالبة بتعويض عن الأضرار التي لحقت به.

In the event that either party violates its obligations stipulated in this contract, the other party shall have the right to claim compensation for the damages incurred.

في حال تأخر الطرف الأول عن سداد مستحقات الطرف الثاني لمدة تزيد عن [عدد الأيام]، يحق للطرف الثاني تعليق خدماته.

In the event that the First Party delays in paying the Second Party's dues for more than [Number of Days], the Second Party shall have the right to suspend its services.

يجوز لأي من الطرفين إنهاء هذا العقد قبل انتهاء مدته بشرط إخطار الطرف الآخر قبل [عدد الأيام] على الأقل من تاريخ الإنهاء.

Either party may terminate this contract before the end of its term, provided that the other party is notified at least [Number of Days] before the date of termination.

في حالة إنهاء العقد من قبل الطرف الأول قبل انتهاء مدته، يلتزم الطرف الأول بسداد كافة مستحقات الطرف الثاني حتى تاريخ الإنهاء.

In the event of termination of the contract by the First Party before the end of its term, the First Party shall be obligated to pay all dues of the Second Party up to the date of termination.

في حالة إنهاء العقد من قبل الطرف الثاني قبل انتهاء مدته، يلتزم الطرف الثاني بتسليم العقار/المبنى للطرف الأول بحالة جيدة.

In the event of termination of the contract by the Second Party before the end of its term, the Second Party shall be obligated to hand over the property/building to the First Party in good condition.

يخضع هذا العقد وتفسيره وتطبيقه لقوانين المملكة العربية السعودية.

This contract, its interpretation, and application shall be governed by the laws of the Kingdom of Saudi Arabia.

جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.

All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.

يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.

The parties agree that any dispute, controversy, or claim arising out of or relating to this contract shall be finally settled through electronic arbitration via the Mithaq Platform under its approved arbitration regulations. The default seat of arbitration shall be Cairo, Egypt. The arbitration shall be governed by Egyptian Arbitration Law No. 27 of 1994 and the Egyptian Civil Code. The arbitration language shall be Arabic. The arbitrator’s decision is final, binding, and enforceable upon approval by the competent authority.
