هذا العقد هو عقد إيجار تجاري يخضع لأحكام القوانين واللوائح المعمول بها في [الدولة]، ويهدف إلى تنظيم العلاقة بين المؤجر والمستأجر فيما يتعلق باستئجار عقار تجاري (محل/مكتب) للأغراض التجارية.
This agreement is a commercial lease agreement subject to the provisions of the applicable laws and regulations in [Country]. It aims to regulate the relationship between the landlord and the tenant with respect to the lease of a commercial property (shop/office) for commercial purposes.
تعريف الأطراف الطرف الأول: (المؤجر) وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للبائع]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني. الطرف الثاني: (المستأجر)، وهو المستخدم المسجل على منصة "ميثاق | Mithaq" عبر الرابط التالي: [User Profile Link للمشتري]، والذي تم التحقق من هويته من خلال وثيقة إثبات هوية سارية المفعول وربط حسابه باسمه الحقيقي ورقم هاتفه وبريده الإلكتروني.
Parties Definition Party One: (The Landlord) is the user registered on the platform "Mithaq | Mithaq" via the following link: [User Profile Link للبائع], whose identity has been verified through a valid identity document and linked his account to his real name, phone number, and email. Party Two: (The Tenant) is the user registered on the platform "Mithaq | Mithaq" via the following link: [User Profile Link للمشتري], whose identity has been verified through a valid identity document and linked his account to his real name, phone number, and email.
يؤجر الطرف الأول للطرف الثاني العقار الكائن في [عنوان العقار بالتفصيل]، والمكون من [وصف تفصيلي للمحل/المكتب، المساحة، عدد الغرف، المرافق].
The First Party leases to the Second Party the property located at [Detailed address of the property], consisting of [Detailed description of the shop/office, area, number of rooms, facilities].
مدة هذا الإيجار هي [مدة العقد] تبدأ من تاريخ [تاريخ السريان] وتنتهي في تاريخ [تاريخ الانتهاء]، قابلة للتجديد باتفاق الطرفين.
The term of this lease is [Duration of the contract] starting from [Start date] and ending on [End date], renewable by agreement of both parties.
قيمة الإيجار المتفق عليها هي [قيمة الإيجار] [العملة] تدفع [طريقة الدفع: شهرياً/ربع سنويًا/سنويًا] عن طريق التحويل الإلكتروني إلى الحساب البنكي الخاص بالطرف الأول رقم [رقم حساب الطرف الأول].
The agreed rent is [Rent amount] [Currency] payable [Payment method: monthly/quarterly/annually] by electronic transfer to the First Party's bank account number [First Party's account number].
يلتزم الطرف الأول بتسليم العقار المؤجر للطرف الثاني في حالة جيدة وصالحة للاستعمال التجاري المتفق عليه.
The First Party is obligated to deliver the leased property to the Second Party in good condition and suitable for the agreed commercial use.
يلتزم الطرف الأول بصيانة الأجزاء الرئيسية في العقار مثل الأساسات والجدران والأسقف، ما لم يكن التلف ناتجًا عن سوء استخدام الطرف الثاني.
The First Party is obligated to maintain the main parts of the property, such as foundations, walls, and ceilings, unless the damage is caused by misuse by the Second Party.
يلتزم الطرف الأول بالحصول على الموافقات والتراخيص اللازمة لتأجير العقار.
The First Party is obligated to obtain the necessary approvals and licenses for leasing the property.
يلتزم الطرف الثاني بدفع قيمة الإيجار في المواعيد المتفق عليها.
The Second Party is obligated to pay the rent on the agreed dates.
يلتزم الطرف الثاني باستخدام العقار المؤجر للأغراض التجارية المتفق عليها فقط، وعدم استخدامه في أي نشاط مخالف للقانون أو النظام العام.
The Second Party is obligated to use the leased property for the agreed commercial purposes only and not to use it in any activity that violates the law or public order.
يلتزم الطرف الثاني بالمحافظة على العقار المؤجر وعدم إحداث أي تلف به ناتج عن سوء الاستخدام.
The Second Party is obligated to maintain the leased property and not to cause any damage to it resulting from misuse.
يلتزم الطرف الثاني بإجراء الصيانة الدورية للعقار المؤجر، مثل صيانة الأجهزة الكهربائية والسباكة، ما لم يتفق الطرفان على خلاف ذلك.
The Second Party is obligated to perform routine maintenance of the leased property, such as maintenance of electrical appliances and plumbing, unless the parties agree otherwise.
لا يحق للطرف الثاني إجراء أي تعديلات أو تحسينات جوهرية في العقار المؤجر إلا بعد الحصول على موافقة كتابية من الطرف الأول.
The Second Party is not entitled to make any substantial modifications or improvements to the leased property without obtaining written consent from the First Party.
يجوز تجديد هذا العقد لمدة مماثلة باتفاق الطرفين قبل [عدد] شهرًا على الأقل من تاريخ انتهاء العقد.
This contract may be renewed for a similar period by agreement of both parties at least [Number] months before the expiration date of the contract.
يجوز لأي من الطرفين إنهاء هذا العقد قبل نهاية مدته في حالة إخلال الطرف الآخر بأي من بنود هذا العقد، وذلك بعد إشعار الطرف الآخر عبر المنصة بمدة [عدد] يومًا.
Either party may terminate this contract before the end of its term in the event that the other party breaches any of the terms of this contract, after notifying the other party through the platform with a period of [Number] days.
تخضع تفسير وتنفيذ هذا العقد لقوانين [الدولة].
The interpretation and execution of this contract are subject to the laws of [Country].
يعتبر هذا العقد بكامل بنوده هو الاتفاق الكامل والنهائي بين الطرفين، ويلغي أي اتفاقات أو مفاهمات سابقة سواء كانت شفهية أو كتابية.
This contract, with all its clauses, is considered the complete and final agreement between the parties, and supersedes any prior agreements or understandings, whether oral or written.
أي تعديل على هذا العقد يجب أن يتم عبر المنصة وبموافقة الطرفين.
Any amendment to this contract must be made through the platform with the consent of both parties.
في حال وجود اختلاف بين النسخة العربية والنسخة الإنجليزية، يعتد بالنسخة العربية.
In case of any discrepancy between the Arabic and English versions, the Arabic version shall prevail.
جميع إجراءات العقد، بما في ذلك التوقيع، التعديل، الفسخ، التجديد، المدفوعات، والموافقة بين الأطراف، تتم إلكترونيًا حصريًا عبر منصة ميثاق | Mithaq، ولا يُعتدّ بأي إجراء أو وثيقة ورقية أو مكتوبة خارج المنصة. وتُعدّ جميع الإجراءات الإلكترونية المنفذة عبر المنصة صحيحة وملزمة للطرفين من الناحية القانونية، ولها ذات الحجية القانونية للإجراءات الورقية.
All contract procedures, including signing, modification, termination, renewal, payments, and mutual approvals between the parties, shall be conducted exclusively and electronically through the Mithaq Platform. No paper-based or offline actions or documents shall be recognized outside the platform. All electronic actions carried out through the platform are legally valid, binding on both parties, and have the same legal force as written documents.
يتفق الطرفان على أن أي نزاع أو خلاف أو مطالبة تنشأ عن هذا العقد أو تتعلق به، بما في ذلك ما يتصل بتكوينه أو تنفيذه أو تفسيره أو إنهائه، يتم حله نهائيًا عن طريق التحكيم الإلكتروني عبر منصة ميثاق | Mithaq وفقًا لـ نظام التحكيم الإلكتروني المعتمد بالمنصة. ويعتبر هذا النظام جزءًا لا يتجزأ من هذا العقد. يكون مقر التحكيم الافتراضي هو مدينة القاهرة – جمهورية مصر العربية، ويخضع التحكيم من حيث الإجراءات لقانون التحكيم المصري رقم 27 لسنة 1994، ومن حيث الموضوع للقانون المدني المصري، وتكون لغة التحكيم اللغة العربية. ويعتبر قرار المحكم الصادر عبر المنصة نهائيًا وملزمًا للطرفين، وله قوة السند التنفيذي بعد اعتماده من الجهة المختصة وفق القوانين المعمول بها.
The parties agree that any dispute, controversy, or claim arising out of or relating to this contract, including its formation, execution, interpretation, or termination, shall be finally settled through electronic arbitration via the Mithaq Platform in accordance with its approved electronic arbitration regulations. This regulation forms an integral part of this contract. The default seat of arbitration shall be Cairo, Arab Republic of Egypt. The arbitration procedure shall be governed by Egyptian Arbitration Law No. 27 of 1994, and the subject matter shall be governed by the Egyptian Civil Code. The language of arbitration shall be Arabic. The arbitrator’s decision issued via the platform shall be final and binding on both parties, with the force of an enforceable title upon approval by the competent authority.
